LinkPiper Grid

Each grid tile on the LinkPiper Grid represents:

• A permanent dofollow backlink placed on linkpiper.app/grid pointing to the URL designated by the Tile Holder at the time of purchase.
• A proportional, non-transferable, non-voting interest equivalent to 1/50,000 (one fifty-thousandth) of the LinkPiper Micro VC Seed Fund ("the Fund"), as described in Section 3 below.

There are a maximum of 50,000 tiles available on the Grid. Each tile is unique by position. The purchase of a tile does not constitute the purchase of a security, financial instrument, equity share, or ownership stake in LinkPiper or any of its affiliated entities. The Fund interest described herein is a contractual economic arrangement only.

50% of all revenue generated from tile sales on the Grid is allocated to the LinkPiper Micro VC Seed Fund. Each tile holder is entitled to an economic interest equal to 1/50,000 of the total value distributed from the Fund, subject to the following conditions:

• Fund distributions, if any, are made entirely at the discretion of the Company. There is no obligation, guarantee, or schedule for distributions.
• The Fund interest is purely economic and confers no voting rights, governance rights, board representation, or any other form of control or ownership in the Company.
• The Fund interest is non-transferable and non-assignable. It cannot be sold, gifted, pledged, or otherwise transferred to any third party.
• The value of the Fund interest may be zero. The Company makes no representation that the Fund will generate any return, profit, or distribution whatsoever.
• The Fund interest is tied to tile ownership and is extinguished if the tile is forfeited, cancelled, or otherwise terminated under these Terms.

Nothing in these Terms constitutes an offer of securities or a regulated investment product in any jurisdiction. Tile Holders are responsible for determining whether their participation has any regulatory or tax implications in their own jurisdiction.

The backlink associated with each tile is provided on a best-efforts basis and is subject to the following:

• The Company makes no guarantee regarding the SEO value, domain authority, search engine indexing, or any ranking improvement resulting from the backlink.
• The Company reserves the right to modify the structure, design, or technical implementation of the Grid at any time, which may affect the nature of the backlink.
• Tile Holders may not use the backlink in connection with any content that is illegal, harmful, defamatory, obscene, or otherwise objectionable as determined solely by the Company.
• The Company reserves the right to remove or suspend any backlink at its sole discretion without liability.

The Grid, the Fund interest, the Backlink, and all related services are provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, the Company expressly disclaims all warranties, including but not limited to:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
• Any warranty that the Grid will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any content on the Grid.
• Any warranty that the Fund will generate any return, profit, or economic benefit whatsoever.
• Any warranty that the backlink will generate traffic, improve search rankings, or produce any measurable result.

The Company does not warrant that the Grid or Fund will continue to operate indefinitely or that any particular tile position will remain available.

To the maximum extent permitted by applicable law, in no event shall the Company, its directors, officers, employees, agents, partners, suppliers, or affiliates be liable for any:

• Indirect, incidental, special, consequential, punitive, or exemplary damages.
• Loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings.
• Damages arising from reliance on the Fund interest, backlink performance, or any representation made in connection with the Grid.
• Damages arising from the Grid being unavailable, modified, or discontinued.
• Any other loss or damage of any kind, however arising, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.

The Company's total aggregate liability to any Tile Holder under or in connection with these Terms shall not exceed the amount actually paid by that Tile Holder for their tile(s).
